1. Introduction and Acceptance
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and 25 consulting LLC ("Resolvia", "we", "us", "our"), a company registered in the United States with its registered office at 312 W 2nd St Unit, Casper, WY 82601, USA.
By accessing or using our AI-powered customer support automation platform, website at resolvia.ai, and related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES.
We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Services at least 30 days before they take effect. Continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
2. Description of Services
Resolvia provides a Software-as-a-Service (SaaS) platform that offers:
- AI-Powered Email Automation: Automated analysis and response generation for customer support emails using artificial intelligence (OpenAI technology).
- Email Integration: Connection to Gmail accounts for email retrieval and sending via Gmail API.
- E-commerce Integration: Integration with Shopify stores for order tracking, customer data retrieval, and contextual support.
- Ticket Management: Comprehensive ticketing system for managing customer inquiries.
- Knowledge Base: Help center functionality with article management and customer self-service portals.
- Return Management: Automated return portal creation and management.
- Multi-Channel Support: Support for various communication channels including email, live chat, and social media.
- Team Collaboration: Organization-based access with team member management and permissions.
The Services are provided "as is" and "as available." We continuously improve our Services and may modify features, add new functionality, or discontinue certain features with reasonable notice.
3. Eligibility and Account Registration
3.1 Eligibility Requirements
To use our Services, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction;
- Have the legal capacity and authority to enter into binding contracts;
- If acting on behalf of a business entity, have the authority to bind that entity to these Terms;
- Not be prohibited from receiving services under applicable laws;
- Provide accurate and complete registration information.
3.2 Account Registration
You must create an account to access our Services. Account registration is processed through Clerk authentication services. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information;
- Keep your login credentials confidential and secure;
- Accept responsibility for all activities that occur under your account;
- Immediately notify us of any unauthorized access or security breaches.
3.3 Organization Accounts
Our Services operate on an organization-based model. When you create an organization:
- You become the organization owner with full administrative rights;
- You may invite team members and assign permissions;
- Subscription plans and usage limits apply at the organization level;
- You are responsible for all activities conducted through your organization;
- Each organization requires its own subscription plan.
4. Subscription Plans and Payments
4.1 Subscription Plans
We offer various subscription tiers with different features, usage limits, and pricing. Current plans include:
- Starter: Entry-level plan with basic features and limited ticket volume;
- Professional: Enhanced features with higher usage limits;
- Business: Advanced features with substantial usage allocations;
- Enterprise: Custom solutions with unlimited usage and dedicated support.

4.2 Payment Terms
- Payment Processor: All payments are processed securely through Stripe. By making a payment, you agree to Stripe's terms of service.
- Billing Cycle: Subscriptions are billed monthly or annually, as selected at checkout.
- Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled.
- Payment Methods: We accept major credit cards and other payment methods supported by Stripe.
- Currency: All prices are displayed in Euros (EUR) unless otherwise specified.
- Taxes: Prices may be subject to applicable VAT or other taxes depending on your location.
4.3 Usage Limits and Overages
- Each plan includes a monthly ticket allocation;
- Ticket usage is counted based on created support tickets;
- Usage resets at the beginning of each billing cycle;
- When approaching usage limits, you will receive notifications;
- Exceeding limits may result in service restrictions or overage charges as specified in your plan.
4.4 Refund Policy
No Refunds: Due to the nature of our SaaS services and the immediate access granted upon subscription, all payments are non-refundable unless required by applicable law. Exceptions may be made at our sole discretion for:
- Technical issues that prevent service delivery and cannot be resolved;
- Billing errors or duplicate charges;
- Cancellation within 14 days of initial subscription if services have not been substantially used (EU consumer cooling-off right).
4.5 Subscription Changes and Cancellation
- Upgrades: Plan upgrades take effect immediately with prorated billing;
- Downgrades: Plan downgrades take effect at the next billing cycle;
- Cancellation: You may cancel your subscription at any time through your account settings. Access continues until the end of the current billing period;
- Data Retention: Upon cancellation, your data is retained for 90 days to allow for reactivation, then permanently deleted.
5. Acceptable Use Policy
5.1 Permitted Use
You may use our Services only for:
- Legitimate business customer support operations;
- Processing communications from your actual customers;
- Managing genuine customer inquiries and support requests;
- Integrating with your authorized business accounts (Gmail, Shopify, etc.).
5.2 Prohibited Conduct
You agree NOT to:
- Use the Services for any illegal, fraudulent, or harmful purposes;
- Send spam, unsolicited messages, or engage in email abuse;
- Transmit malware, viruses, or other malicious code;
- Attempt to gain unauthorized access to our systems or other users' accounts;
- Reverse engineer, decompile, or attempt to extract source code from our Services;
- Use automated tools (bots, scrapers) except as authorized through our API;
- Circumvent usage limits, security measures, or access controls;
- Impersonate others or misrepresent your identity or affiliation;
- Violate any applicable laws, regulations, or third-party rights;
- Use the AI features to generate content that is harmful, misleading, or illegal;
- Process or store data in violation of privacy laws or without proper consent;
- Resell, sublicense, or redistribute the Services without authorization;
- Interfere with or disrupt the Services or impose unreasonable load on our infrastructure;
- Use the Services in a manner that could harm Resolvia's reputation or goodwill.
5.3 Content Standards
All content processed through our Services must not contain:
- Illegal, defamatory, or obscene material;
- Content that promotes violence, discrimination, or hatred;
- Infringing or stolen intellectual property;
- Personal data processed without proper legal basis;
- Fraudulent or deceptive content.
6. Intellectual Property Rights
6.1 Our Intellectual Property
Resolvia retains all rights, title, and interest in and to:
- The Services, including all software, algorithms, interfaces, and technology;
- The Resolvia brand, trademarks, logos, and trade dress;
- All documentation, tutorials, and marketing materials;
- Aggregated, anonymized data derived from use of the Services;
- Any improvements or modifications to the Services.
These Terms grant you no rights to our intellectual property except the limited license to use the Services as described herein.
6.2 Your Content and Data
You retain all ownership rights to your content and data processed through the Services ("Your Content"). By using our Services, you grant Resolvia:
- A limited, non-exclusive license to process Your Content solely to provide the Services;
- The right to create anonymized, aggregated analytics that cannot identify you or your customers;
- No claim to ownership of Your Content beyond what is necessary for service delivery.
6.3 Feedback
If you provide suggestions, ideas, or feedback about our Services, you grant us an unrestricted, perpetual, irrevocable license to use this feedback for any purpose without compensation or attribution.
7. Third-Party Integrations
7.1 Third-Party Services
Our Services integrate with third-party platforms including:
- Google (Gmail API): For email synchronization and sending;
- OpenAI: For AI-powered email analysis and response generation;
- Shopify: For e-commerce order and customer data;
- Stripe: For payment processing;

By connecting third-party accounts, you represent and warrant that:
- You are authorized to connect those accounts;
- Your use complies with the third-party's terms of service;
- You accept responsibility for data transferred through integrations;
- You will not hold Resolvia liable for third-party service issues.
8. AI and Automated Processing

Our Services use artificial intelligence to generate email responses. You acknowledge and agree that:
- AI-generated content may not always be accurate, complete, or appropriate;
- You are responsible for reviewing and approving AI-generated responses before they are sent;
- Resolvia is not liable for errors, inaccuracies, or consequences of AI-generated content;
- AI models may occasionally produce unexpected or unintended outputs;
- The quality of AI responses depends on your configuration and training data.
8.2 Automation Settings
When enabling automated email responses:
- You accept full responsibility for automated communications sent on your behalf;
- You should regularly monitor automation performance and adjust settings;
- You must ensure automation complies with applicable laws and regulations;
- You may disable automation at any time through your account settings.
8.3 AI Training and Improvement
We do not use your specific customer data to train general AI models. Your data is processed only for your specific service delivery. We may use anonymized, aggregated patterns to improve overall service quality.
9. Data Protection and Privacy
9.1 Data Processing Relationship
When you use our Services to process customer data:
- You are the Data Controller for your customer's personal data;
- Resolvia acts as Data Processor processing data on your behalf;
- A Data Processing Agreement (DPA) governs this relationship, available upon request;
- You are responsible for ensuring lawful basis for processing customer data.
9.2 Your Responsibilities
You are responsible for:
- Obtaining necessary consents from your customers for data processing;
- Providing appropriate privacy notices to your customers;
- Ensuring your use of our Services complies with GDPR and other applicable privacy laws;
- Responding to data subject rights requests from your customers;
- Notifying us of any data protection concerns or breaches.
9.3 Security

We strive to maintain high availability of our Services. However:
- We do not guarantee uninterrupted or error-free operation;

- WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR VIRUS-FREE;
- WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT;
- WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES OR THEIR PERFORMANCE.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- RESOLVIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- THIS INCLUDES LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM;
- THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).
11.3 Exceptions
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence.

You agree to indemnify, defend, and hold harmless Resolvia, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Services;
- Your violation of these Terms;
- Your violation of any third-party rights, including intellectual property or privacy rights;
- Your Content or customer data processed through the Services;
- Your breach of applicable laws or regulations;
- Actions of users you invite to your organization.
13. Termination
13.1 Termination by You
You may terminate your account at any time by:
- Cancelling your subscription through account settings;
- Contacting us at info@resolvia.ai to request account deletion;
- Note: Termination does not entitle you to refunds for unused subscription periods.
13.2 Termination by Resolvia
We may suspend or terminate your account immediately if:
- You breach these Terms or the Acceptable Use Policy;
- You fail to pay subscription fees when due;
- We are required to do so by law;
- Your use poses a security risk to our Services or other users;
- Your account shows signs of fraudulent activity.
Where possible, we will provide notice and an opportunity to remedy the breach before termination.
13.3 Effect of Termination
Upon termination:
- Your right to access the Services ends immediately;
- Data is retained for 90 days to allow for reactivation or export;
- After 90 days, your data is permanently deleted;
- Provisions that by their nature should survive termination will survive (including intellectual property, indemnification, limitation of liability, and dispute resolution).
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. For consumers in the European Union, this choice of law does not deprive you of the protection afforded by mandatory provisions of consumer protection laws in your country of residence.
14.2 Dispute Resolution
Informal Resolution: Before initiating formal proceedings, we encourage you to contact us at info@resolvia.ai to resolve disputes amicably. We commit to responding within 30 days.
Jurisdiction: Any disputes not resolved informally shall be subject to the exclusive jurisdiction of the courts of Wyoming, United States. For consumers in the EU, you may also bring proceedings in your country of residence.

15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements, constitute the entire agreement between you and Resolvia regarding the Services and supersede all prior agreements.
15.2 Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
15.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet outages.
